Articles of Incorporation

THE  CONTINENTAL  LUSCOMBE ASSOCIATION

 

 

 

 

 

 

 

     The undersigned, a citizen of the United States of America and a resident of the State of Washington, for the purpose of forming a nonprofit corporation under RCW Title 24.03, the Washington Nonprofit Corporation Act, hereby adopts the following Articles of Incorporation:

 

 

ARTICLE I

 

 

     The name of the nonprofit corporation shall be: "THE CONTINENTAL LUSCOMBE ASSOCIATION”.

 

 

ARTICLE II

 

 

     The duration of the corporation shall be perpetual.

 

 

ARTICLE III

 

 

     The purposes of this nonprofit corporation are the following:

 

(a) provide a forum for the exchange of information among the owners and operators of Luscombe aircraft and others interested in Luscombe aircraft;

 

          (b) gather and preserve the history of Luscombe aircraft;

 

          (c)  assist with the formation of, and provide support to, area or regional chapters;

 

          (d)  promote and support social activities involving the membership of the nonprofit corporation (association); and

 

          (e)  transact all lawful business of every kind and character in which it may engage at any time in the State of Washington and in all other jurisdictions.

 

     The nonprofit corporation (association) shall have the authority to perform all such acts as are necessary or proper to accomplish these purposes so long as they are not repugnant to the law.

 

 

ARTICLE IV

 

 

     The internal affairs of the corporation shall be managed by a Board of Directors in accordance with by-laws which shall be initially adopted by the Incorporator and thereafter maintained in accordance with the amendment provisions contained therein.

 

 

ARTICLE V

 

 

     The name of the registered agent of the nonprofit corporation (association), appointed by a resolution adopted by the initial Board of Directors, is:  GORDON G. BIRSE.  The registered office address, which is also the address of the registered agent, is:  29604 - 179th Place SE, Kent, Washington  98042.

 

 

ARTICLE VI

 

 

The number of directors constituting the initial Board of Directors is three (3).  The names and addresses of the persons who are to serve as directors until the first annual meeting of the members of the nonprofit corporation (association), or until their successors are elected and shall qualify, are:

     Douglas P. Clough, 28112 - 144th Ave E, Graham, WA  98338

     Arthur W. Moxley, 28117 - 203rd Ave SE, Kent, WA  98042

 

 

ARTICLE VII

 

 

     The name and address of the Incorporator of this nonprofit corporation (association) is: 

 

     Gordon G. Birse, 29604 - 179th Place SE, Kent, WA  98042

 

 

 

 

ARTICLE VIII

 

 

     In the event that this nonprofit corporation (association) is later dissolved, the net assets of the nonprofit corporation at the time of dissolution are to be distributed to a nonprofit charitable organization involved in the promotion of aviation as then designated by the Board of Directors.

CONSENT TO APPOINTMENT AS REGISTERED AGENT

 

 

 

 

Registered Agent in the State of Washington for the non-profit corporation (association) known as The Continental Luscombe Association.  I understand that, as agent for the corporation, it will be my responsibility to receive Service of Process in the name of the corporation, to forward all mail to the corporation, and to immediately notify the Office of the Secretary of State in the event of my resignation or of any change in the registered office address of the corporation for which I am the agent.
